SinglePage SEO Terms of Service
This Agreement defines the relationship between the User (hereinafter referred to as “You”) and SinglePage SEO, an online service operated by The frank Agency (hereinafter referred to as “SinglePage SEO,” “we,” or “us”). We offer website analysis, content evaluation, and other tools (collectively, the “Services”).
These Terms of Service ("Terms") govern your access and use of the SinglePage SEO website and the Services. Please read them carefully.
YOUR USE OF THE SERVICES SIGNIFIES YOUR AGREEMENT TO THESE TERMS OF SERVICE. By using the website, you confirm this is a binding legal agreement. If you do not agree with any of these Terms, you must not use the Services. Violation of these Terms will result in the termination of your access.
1. Service Insights and Technical Commitments
As an SEO tool, our purpose is to deliver clear, actionable insights. To maintain complete trust, we believe in being fully transparent about data accuracy:
1.1. Commitment to Accuracy
While we constantly refine our analysis for accuracy, complete audit accuracy is subject to external internet factors. SinglePage SEO has no control over external factors (like search engine results, third-party sites, or algorithms). Additionally, non-W3C-compatible or unconventional website code may disrupt our analysis.
1.2. Service Evolution
We reserve the right to modify, suspend, or discontinue any feature or service at any time. We will not be liable to you for any such changes, including pricing changes.
1.3. Essential Communication
By using the Services, you agree to receive administrative messages, service announcements, and occasional survey invitations. These are a core part of being a user of SinglePage SEO.
2. Responsible Use and Conduct
You agree to use our Services responsibly, ethically, and lawfully. This is about maintaining the performance and integrity of the platform for all users.
2.1. What You Will Not Do:
- Automation: You will not use bots, crawlers, scrapers, or other unauthorized automated means to access our Service or harvest data without our explicit written consent.
- System Integrity: You will not disable, overburden, or impair the proper operation or performance of SinglePage SEO.
- Malicious Content: You will not upload viruses, malware, or other documents intended to cause harm.
- Unauthorized Access: You will not attempt to solicit login information, access another user's account, or upload content belonging to another entity.
2.2. API Usage Policy
If you utilize our programmatic interface (API), your usage is subject to all restrictions in the "What You Will Not Do" section, including limits on abusive automation and excessive requests. You are fully responsible for the security and usage of your API key. We reserve the right to revoke any API key immediately if its usage violates this Agreement or poses a threat to our service stability.
2.3. Fair Usage Policy
To prevent a few users from degrading service for the many, we implement a Fair Usage Policy. We reserve the right to limit or suspend access for any user whose behavior imposes an excessive or disproportionate load on our infrastructure. If your access is limited, you may contact our support team to discuss a customized plan.
3. Account Management and Security
You are responsible for the security and accuracy of your user profile.
3.1. Minimum Age Requirement
The Service is not intended for or available to anyone under the age of sixteen (16). If you are between sixteen (16) and the legal age of majority in your area, you must have your parent or legal guardian review and consent to these Terms before you use the Service.
3.2. Accuracy
You will provide accurate, truthful personal information and keep your contact details current.
3.3. Security
You must maintain the confidentiality of your password. You will not share your password or transfer your account without our prior written permission.
3.4. Reactivation
If your account is disabled by us, you are prohibited from creating another account without our express permission.
3.5. Inactive Accounts
If you do not have an active paid Subscription Plan and do not access your account for six (6) consecutive months, we may consider your account inactive and reserve the right to delete your data and close the account. We may attempt to notify you before termination. This policy does not apply to paid subscriptions that are current and in good standing.
4. Billing, Refunds, and Cancellation
This section outlines the financial terms and your options for managing your subscription.
4.1. Payment
A valid credit/debit card is required for all paid accounts.
4.2. Free Plan
You may access a free version of the Service. Access to the Free Plan does not require payment information. If you upgrade to a paid subscription, the new plan will be billed immediately upon selection, and all subsequent billing will follow the recurring schedule of that plan.
4.3. Billing
Services are billed in advance on a monthly recurring basis.
4.4. Plan Changes
When upgrading or downgrading, the new rate will be charged on your next billing cycle.
Warning: Downgrading may result in the permanent loss of account data, features, or capacity, for which SinglePage SEO accepts no liability.
4.5. Cancellation Process
You must cancel your account through the designated "Account" screen within the SinglePage SEO application. Email or verbal requests are not accepted as an official cancellation notice.
4.6. Refunds
All fees paid for Services are non-refundable. Since a free version of the Service is available, all purchases of paid subscriptions are final. No refunds or credits will be issued for partial months, plan changes, or unused time on an open account.
4.7. Automatic Renewal
Your Subscription Plan will automatically renew for an identical Subscription Period unless you cancel it before the renewal date. By purchasing a Subscription Plan, you authorize us to charge the applicable fee ("Subscription Fee") to your chosen payment method for the initial period and automatically upon each renewal.
4.8. Termination of Renewal
To stop future automatic charges, you must cancel the renewal process via the "Account" screen before the renewal date. Simply removing your payment method will result in a failed renewal charge but does not constitute a formal cancellation of the subscription. If you terminate the renewal, you will retain access to the Services until the end of the current paid Subscription Period.
5. Termination and Indemnification
5.1. Our Right to Terminate
We reserve the right, at our sole discretion, to terminate your access and membership at any time, for any reason, particularly if you violate this Agreement. We are not required to disclose the reason for termination. However, if you believe the termination of your access was a mistake or ineligible, you may contact us at support@singlepageseo.com to submit an appeal.
5.2. Agreement Survival
The following subsections of this Agreement will remain in full effect, and survive, even after your subscription or membership is terminated: 1.1 (Commitment to Accuracy), 2.1 (What You Will Not Do), 2.2 (API Usage Policy), 2.3 (Fair Usage Policy), 4.6 (Refunds), 5.3 (Indemnification), 6.1 (Lead Data Protection), 6.2 (Copyright Infringement), 7.2 (Limitation of Liability), and 7.3 (Entire Agreement).
5.3. Indemnification
You agree to protect, defend, and hold harmless SinglePage SEO and The frank Agency from any claims, liabilities, or expenses (including legal fees) arising from your misuse of the Service or violation of this Agreement.
6. Data Integrity and Protection
We respect the sensitive nature of your data and your leads.
6.1. Lead Data Protection
If you utilize any SinglePage SEO tools to capture or generate user leads, we guarantee that we will not distribute, resell, or directly contact your leads without your full, explicit written consent.
6.2. Copyright Infringement
We operate in compliance with the Digital Millennium Copyright Act (DMCA). We respond promptly to valid copyright infringement claims and will terminate accounts of "repeat infringers."
7. Privacy Policy Incorporation
This section formally incorporates our data practices.
7.1. Privacy Policy
Your use of the Service is also governed by our Privacy Policy, available at https://singlepageseo.com/explore/privacy-policy. The Privacy Policy describes how we collect, use, and protect your data. By using the Service, you acknowledge and agree to the terms of the Privacy Policy. If you have any questions about these Terms or the Service, contact our Data Protection Officer (DPO) at support@singlepageseo.com.
8. Governing Provisions
8.1. Updates & Modifications to these Terms
We may revise these Terms from time to time to reflect new features, changes in applicable law, or operational adjustments with a new “Effective Date” mentioned at the top.
When we make significant updates, we will provide notice through the Service or via email at least thirty (30) days before the changes take effect, unless required sooner for legal or security reasons.
Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
8.2. Entire Agreement
This Agreement, along with the incorporated Privacy Policy, constitutes the entire agreement between you and SinglePage SEO regarding the use of the Services.
9. Dispute Resolution and Arbitration
Most disputes can be resolved informally by contacting our support team at support@singlepageseo.com.
If a dispute cannot be resolved within thirty (30) days, you and SinglePage SEO agree to resolve any claim, controversy, or dispute arising out of or relating to these Terms or the Services through final and binding individual arbitration, rather than in court.
Arbitration will be conducted in English, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, and held in Johnson County, Kansas, unless otherwise agreed by both parties.
Class Action Waiver: Both parties agree that any arbitration or legal proceeding will be conducted only on an individual basis. Neither you nor SinglePage SEO may join or consolidate claims by or against others in any proceeding.
You may opt out of arbitration within thirty (30) days of first accepting these Terms by sending written notice to support@singlepageseo.com.
10. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Kansas, United States, without regard to conflict-of-law principles.
If arbitration is deemed unenforceable, both parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Johnson County, Kansas, for any disputes arising under these Terms.
11. Force Majeure
We will not be liable for any delay or failure to perform obligations under these Terms if caused by events beyond our reasonable control, including natural disasters, power outages, internet failures, labor disputes, government actions, or other unforeseen circumstances.
We will make reasonable efforts to resume normal operations as soon as possible after such events.
12. Third-Party Tools and Integrations
The Service may contain links or integrations with third-party services (such as analytics, payment gateways, or marketing platforms). Your use of any third-party service is governed solely by that provider’s terms and privacy policy.
SinglePage SEO is not responsible for the accuracy, availability, or legality of third-party content or services.
By using integrations, you authorize us to share limited information necessary for their operation, consistent with our Privacy Policy.
13. Export Control and Legal Compliance
You agree to comply with all applicable export control laws and regulations, including those of the United States and the European Union.
You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to comprehensive U.S. embargoes or sanctions.
You further agree not to use the Service for any purpose prohibited by applicable law, including activities relating to nuclear, chemical, or biological weapons.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SINGLEPAGE SEO AND THE FRANK AGENCY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
In any event, our total cumulative liability arising from or related to the Services shall not exceed the greater of
- The total amount paid by you in the twelve (12) months preceding the event giving rise to the claim, or
- One hundred U.S. dollars (USD 100).
Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, or death or personal injury caused by negligence.
15. Severability and Non-Waiver
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision in these Terms shall not be considered a waiver of those rights or any other rights under this Agreement.
